This promotion is not open to the general public. Participation is limited to registered attendees of the Purina E3 meetings who meet the additional requirements set forth in the ELIGIBILITY section below. Void where prohibited by law. Each sweepstakes winner may be required to execute prize acceptance documents within the timeframe required by Sponsor (defined below), as more fully detailed below.

By participating in any aspect of the Promotion, you agree to these Official Rules, which are a contract – so read them carefully before entering. Without limitation, this contract includes a requirement that you indemnify the Released Parties (defined below), a limitation of your rights and remedies, and a class-action waiver.

Overview: Ritchie Industries/Purina 2022 EZ Fount Giveaway (“Promotion”) begins on March 1, 2022 at approximately 12:00 a.m. Central Time (“CT”) and ends on December 31 2022, at 11:59:59 pm Central Time (“CT”) (“Promotion Period”). The Promotion is sponsored by Ritchie Industries and Purina (“Sponsor”). The overall Promotion is comprised of twenty individual giveaways. These Official Rules govern the participation in any aspect of the Promotion and your participation constitutes full and unconditional agreement to and acceptance of these Official Rules and the decisions of Sponsor and its representatives, which are final and binding in all respects.

Eligibility: This Promotion is not open to the general public. It is open only to those who (a) are a legal resident of any one of the fifty United States or the District of Columbia (collectively, the “Territory”), (b) are at least the age of majority in their state/jurisdiction of residence, (c) are registered attendees of the Conference and actually attend/are physically present at the Conference venue, and (e) successfully register to participate in the Promotion by following the instructions set out in the HOW TO PARTICIPATE section below. Void where prohibited by law and outside the Territory. Sponsor, the Promotion and each of their representatives reserve the right to require documentation from any potential participant to verify eligibility.

How to Participate: To participate in any component of the Promotion, an eligible participant must visit www.ritchiefount.com/EZGiveway and follow the on-screen links and instructions to complete the registration process, including providing your full name, email address, and any other required information.

Once you have successfully registered, you may participate in any of the twenty (20) giveaways and sweepstakes that comprise the overall Promotion as follows:

LIMIT ONE (1) OF EACH TYPE GIVEAWAY ITEM PER PARTICIPANT. GIVEAWAY ITEMS ARE AVAILABLE ONLY WHILE SUPPLIES LAST.

Sponsor will select one of 20 potential winners (subject to verification) in a random drawing from among all eligible entries received throughout the duration of the promotion. Odds of winning will depend on the number of eligible entries received.

The following terms apply to the entirety of the Promotion, including each of the above sweepstakes and giveaways: Those who do not abide by these Official Rules and the instructions of Sponsor, its representatives, may, in Sponsor's sole discretion, be disqualified and any giveaway claim or sweepstakes entry by such participant void. Purported sweepstakes entries or giveaway claims that are fraudulent, incomplete, lost, late, misdirected, illegitimate, altered, incomprehensible, garbled, or generated by automated means will not be accepted and will be void. Sweepstakes entries may not be acknowledged. Sponsor reserves the right to restrict or void entries or participation from any identifiable source if any suspicious entry and/or participation is detected. Participation on your behalf by any other party or by you on behalf of any other party will be declared invalid and all parties engaging in or benefiting from such conduct may be disqualified from the Promotion, as determined by Sponsor in its sole discretion. By participating, you give consent for Sponsor to collect and disclose your name, city/state of residence, and other information to third parties for the purpose of administering this Promotion and complying with applicable laws, regulations, and rules – which may include publicly disclosing a winner’s personal and prize information on a winners list.

Winner Notification/Prize Claim Procedure for Sweepstakes Winners Within approximately five (5) business days of the applicable sweepstakes drawing, Sponsor will attempt to contact the potential winner(s) by email or phone (in its sole discretion) using information provided by the participant at registration. Each potential winner will be required to respond as instructed within seventy-two (72) hours of being notified. If any prize, prize notification, or Sweepstakes-related communication is rejected, faulty, or returned as undeliverable, if the potential winner cannot be reached or does not respond according to the notification’s instructions, or if the potential winner otherwise fails to comply with these Official Rules, the prize may, in Sponsor’s sole discretion, be forfeited and an alternate winner may be selected (time permitting). Upon prize forfeiture, no compensation will be given and Sponsor will have no responsibility or liability to the disqualified potential winner. To claim a prize, each potential winner must follow the directions in his or her notification.

Each potential prize winner may, in Sponsor’s sole discretion, be required to complete, sign, have notarized (if applicable), and return an Affidavit of Eligibility and Liability/Publicity Release (unless prohibited by law), and tax documents, if applicable (collectively, “Prize Winner Documents”) within the time frame specified and in the form provided by Sponsor, without revision, or prize may be forfeited. Potential winners may also be required to provide a copy of a valid, government-issued ID in connection with the Prize Winner Documents. The Prize Winner Documents, if applicable, must be received by Sponsor within five (5) days of Sponsor sending the documents to the potential winner or other time frame as stated in the Prize Winner Documents, or prize may be forfeited and an alternate winner may be selected. Promotion participation, prize claim, and Prize Winner Documents are subject to verification by Sponsor.

Sponsor reserves the right to modify the notification procedures in connection with the selection of an alternate potential winner, if any. Each prize, if legitimately claimed, will be awarded. Sponsor will be obligated to pursue more than three (3) alternate winners for any prize, after which the prize may go unawarded. No more than the stated prizes will be awarded.

Additional Terms for Giveaway Items & Sweepstakes Prizes. Gift card may be delivered via email or mailed. Mailed prizes will only be shipped to the confirmed winner’s mailing address within the Territory. Each sweepstakes winner and giveaway item recipient will be solely responsible for all taxes (federal, state and local) and other expenses not specified in these Official Rules as being provided as part of the sweepstakes prize or giveaway item. Details regarding sweepstakes prizes or giveaway items not specified in these Official Rules (including the make, model, type, size, color, design, or specifications of any prize or giveaway item) will be determined by Sponsor in its sole discretion. Use of prize may be subject to the terms and conditions of the issuer/manufacturer (where applicable). Each participant waives the right to assert, as a cost of winning any prize, any and all costs of verification and redemption or travel to claim the prize and any liability and publicity which might arise from claiming or seeking to claim said prize.

Sponsor is not responsible for and will not replace any lost, mutilated or stolen prize or any prize that is undeliverable or does not reach a winner because of incorrect or changed contact information. If a winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited and Sponsor will have no further obligation with respect to that prize or portion of the prize. Sponsor is not responsible for any inability of any winner to accept or use any prize (or portion thereof) for any reason – including, without limitation, policies of the clinic for which you work that prohibit your receipt of a prize. (By accepting any sweepstakes prize or giveaway item in this Promotion, you represent and warrant that your receipt of that prize or giveaway item does not violate any employer or similar policy or ethical obligation applicable to you.) No transfers, prize substitutions or cash redemptions will be made, except at Sponsor’s sole discretion. Sponsor reserves the right to substitute any stated prize or portion thereof with another prize or portion thereof of equal or greater value for any reason, including, without limitation, prize unavailability.

Limitation of Liability: By participating, each participant agrees to release, discharge, indemnify, defend, and hold harmless Sponsor, its parents (including Ritchie Industries) subsidiaries, affiliates, prize suppliers, advertising and promotion agencies (including its parents, subsidiaries, affiliates, and agencies) and all of their respective directors, officers, employees, and agents (collectively, the “Released Parties”) from and against any and all liabilities, lawsuits, costs, expenses and fees (including attorneys’ fees) whatsoever for any injury, negligence, loss or damage of any kind, including, without limitation, injury, damage, loss, death, or accident to person, pet, or property, arising directly or indirectly, from or in connection with acceptance, awarding, possession, use or misuse of a prize or while preparing for, participating in, and/or traveling to or from any Promotion- or prize-related activity. Each sweepstakes winner or giveaway item recipient understands and agrees that the prize/giveaway item is provided as-is and the Released Parties do not make any warranty, representation, or guarantee, expressed or implied, in fact or in law, relative to the use of any of the prizes or giveaway items, including, without limitation, their quality, merchantability, or fitness for a particular purpose, whether now known or hereafter enacted.

Each participant understands and agrees that all rights under section 1542 of the Civil Code of California and any similar law of any state, territory or jurisdiction of the United States are hereby expressly waived by them. Section 1542 reads as follows: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

Additional Disclaimers: Released Parties are not responsible and/or liable for any of the following, whether caused by a Released Party, a participant, or any other party: any lost, late, unintelligible, illegible, incomplete, stolen, mutilated, misdirected, undelivered or postage-due participation, entry, e-mail, mail or Promotion-related correspondence or material-point-earning activities, giveaway item claims, or sweepstakes entries that are submitted by illegitimate means (such as, without limitation, concerted activity among multiple individual participants to earn points under a single registration or participation via any automated computer program) or sweepstakes entries or giveaway item claims in excess of the stated limits; any error, omission, interruption, defect, or delay in transmission or communication; viruses or technical or mechanical malfunctions; interrupted or unavailable cable, satellite, or other systems; failures of electronic equipment, computer hardware or software; lost or unavailable network connections; failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications or entry information; or any mechanical or human error that may occur in the capture of participant information, the processing of giveaway item claims or sweepstakes entries, the conduct of a prize drawing, or distribution of giveaway items or sweepstakes prizes. Without limiting any other provision in these Official Rules, the Released Parties are not responsible or liable to any participant or any person claiming through such participant for failure to supply a sweepstakes prize or giveaway item (or any part thereof) in the event that any of the Conference, the Promotion activities, or the Released Parties’ operations or activities are affected by COVID-19 or any cause or event beyond the sole and reasonable control of the applicable Released Party (as determined by Sponsor in its sole discretion) including, without limitation, by reason of any acts of God, equipment failure, threatened or actual terrorist acts, air raid, act of public enemy, war (declared or undeclared), civil disturbance, insurrection, riot, pandemic/epidemic or similar public-health crisis, fire, explosion, earthquake, flood, hurricane, unusually severe weather, blackout, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, any law, rule, regulation, action, order, guidance, or request adopted, taken, or made by any governmental or quasi-governmental entity (whether or not such governmental act proves to be invalid), or any other cause, whether or not specifically mentioned above. References to trademarks and/or names of third parties or related products or services are for reference and identification purposes only, not an endorsement, and do not designate a sponsorship, affiliation, or association with Sponsor or this Promotion.

General Rules: By entering the Promotion (except where prohibited by law), each participant grants the Released Parties the right and permission to use his/her name, image, likeness, voice, biographical information, quotes attributable to him or her, and any other aspect of personality for advertising, trade, and commercial purposes, in any and all media now known or hereafter invented, devised, or discovered, worldwide, including on the Internet, without review, notice, or approval and without further compensation or permission, except where prohibited by law, and each such person releases all Released Parties from any and all liability related thereto. Nothing contained in these Official Rules obligates Sponsor to make use of any of the rights granted herein and each person who participates on behalf of a Clinic and grants rights hereunder waives any right to inspect or approve any such use.

Sponsor’s decisions will be final in all matters relating to this Promotion, including interpretation of these Official Rules, acceptance or rejection of giveaway item claims, and awarding of the sweepstakes prizes. All participants, as a condition of participation, agree to be bound by these Official Rules and the decisions of Sponsor. Failure to comply with these Official Rules may result in disqualification from participating in this Promotion. Participants further agree to not damage or cause interruption of any component of the Promotion or prevent others from participating. Sponsor reserves the right, in its sole discretion, to disqualify any person that Sponsor believes has attempted to tamper with or impair the administration, security, fairness or proper play of this Promotion (or on the behalf of which a third party has attempted to do the same). If the Promotion, or any component activity thereof, is incapable of running as planned for any reason, including, without limitation, because of tampering, unauthorized intervention, fraud, human error, or any other cause that corrupts, threatens to corrupt, or adversely affects the administration, security, fairness, integrity, or proper conduct of the Promotion or the applicable Promotion activity, Sponsor reserves the right, in its sole discretion, to cancel, suspend, or modify the affected giveaway or sweepstakes or the entire Promotion. Without limiting the generality of the foregoing, no Released Party will have any liability for failure of the Conference to occur (in whole or part) as scheduled and may cancel or modify the Promotion, or any component thereof, should the Conference fail to occur as scheduled or should it be canceled prior to the scheduled completion. Sponsor’s failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision. In the event there is an alleged or actual ambiguity, discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials and/or these Official Rules (including any alleged discrepancy or inconsistency within these Official Rules), it will be resolved by Sponsor in its sole discretion. Participants waive any right to claim ambiguity in the Promotion (or component thereof) or these Official Rules. If Sponsor determines at any time in its sole discretion that any participant is disqualified, ineligible, in violation of these Official Rules, or engaging in behavior that Sponsor deems obnoxious, inappropriate, threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to disqualify that person. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Any dispute as to the owner of an account registration for Promotion purposes will be resolved by Sponsor in Sponsor’s sole discretion. If any person supplies false information, obtains points/entries/sweepstakes prizes/giveaway items by fraudulent means, or is otherwise determined to be in violation of these Official Rules in an attempt to obtain any giveaway item or sweepstakes prize, Sponsor may disqualify that person and seek damages from him or her and that person may be prosecuted to the full extent of the law.

Disputes/Governing Law: As a condition of participating in this Promotion, each participant agrees the Promotion and these Official Rules are governed by the laws of the State of Iowa, USA. All issues and questions concerning the construction, validity, interpretation, and enforceability of the Official Rules, participants’ rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with the laws of the State of Iowa, without giving effect to any choice of law or conflict of law rules. Any dispute regarding this Promotion or these Official Rules will be brought in the federal or state courts located in or having jurisdiction over Conrad, Iowa, and each participant irrevocably consents and waives objection to the personal jurisdiction of such courts.

In addition, each participant agrees that all causes of action arising out of or connected with this Promotion, these Official Rules, or any giveaway item provided or sweepstakes prize awarded, shall be resolved individually, without resort to any form of class action, and any and all claims, judgments, and awards shall be limited to actual out-of-pocket damages, excluding attorneys’ fees and court costs. Further, in any such dispute, under no circumstances will a participant be permitted or entitled to obtain awards for, and hereby waives all rights to claim, incidental or consequential damages other than their actual out-of-pocket expenses (if any), not to exceed twenty U.S. dollars ($20 USD) (provided that nothing in these Official Rules will restrain a California resident’s right, if any, to seek public injunctive relief as permitted by law and as otherwise in accordance with the dispute-resolution provisions set out above).
